COBE Re-Registration
TRM Legal Counsel assists businesses across Zimbabwe in meeting the Corporate Ownership and Beneficial Entities (COBE) Register requirements introduced under Statutory Instrument 108 of 2025.
Under this regulation, companies, trusts, partnerships and other legal entities are required to submit or update their beneficial ownership information with the Registrar of Companies and Other Business Entities (the COBE Register). These disclosures must accurately identify the individuals who ultimately own or control the entity.
Our legal team provides practical, end-to-end compliance support, helping businesses prepare, verify and submit the required beneficial ownership filings in accordance with Zimbabwean law.
TRM Legal Counsel works with companies to ensure their filings are accurate, properly prepared and submitted on time, helping clients meet their legal obligations with confidence before the deadline
Consequences of Non-Compliance
Businesses that fail to comply before the 20 April 2026 deadline may face:
-
Regulatory penalties and fines
-
Administrative sanctions
-
Possible restrictions on company filings
-
Increased scrutiny from regulatory authorities
-
Potential compliance risks with banks, investors and counterparties
